FRANK P. RAINER



Frank P. Rainer has over twenty years of experience in transactional and litigation matters involving health care, insurance, commercial, corporate and real estate matters.

Health care: He has an extensive background in healthcare regulatory, administrative, litigation and transactional work. He is very familiar with the specialized reimbursement, licensure, change of ownership, lien laws and due diligence issues which apply to health care matters. He has developed good working relationships with the State of Florida Agency for Health Care Administration (AHCA), Office of Insurance Regulation (OIR), Agency for Persons with Disabilities (APD) and Department of Children and Families (DCF). A significant amount of his experience is in the areas of Medicare and Medicaid, reimbursement, licensure, government contracting, regulatory matters and health care contracts.

He represents health plans, managed care companies, trade associations, banks, real estate investment trusts, hospitals (acute care and specialty), assisted living facilities, nursing homes, social service agencies, physicians, physician groups, disability services and other ancillary health care providers.

Insurance: Over the years, he has been a local resource for numerous health care plans with regulatory issues at the Office of Insurance Regulation. He has prepared applications for start up health plans. Further, he assists several health plans in meeting ongoing compliance and regulatory issues. He has developed a significant amount of knowledge on operational issues such as provider relations, contracting, behavioral and mental health subsidiaries, marketing and government contracting (Medicare and Medicaid).

Real Estate: He has a comprehensive background in real estate transactional work, including all areas of contracting, collection, financing, and closings. He has handled numerous complex real estate transactions and closings, and the attendant title work for numerous and varied corporate and real estate ventures. He has closed several hundreds of transactions with a total dollar value in excess of $1.3 Billion. I actively close 5 to 15 transactions a month.

Corporate: He assists national health care clients and Florida corporations in all areas of transactional work, i.e.: corporate organization and maintenance, financing, employment and consultant contracting, general contract work and regulatory analysis. Also, he has a significant amount of experience in merger and acquisition work, both as lead counsel and as local Florida counsel. The largest transaction was a $200 Million acquisition of a health plan.

Litigation: In all of the above areas, he has an active litigation practice. He maintains a current litigation case load of approximately thirty cases. He has handled over 250 cases during his career, has litigated over 30 cases through trial, and has written briefs for over a dozen appeals. He is actively involved in business litigation with all judicial forms, i.e.: Division of Administrative Hearings, Bankruptcy, State of Florida Circuit Courts and Federal Courts.
